Proforma Invoice Format in India: What It Is and When to Use It
What a proforma invoice actually is
A proforma invoice is a document you send to a buyer before the sale is confirmed. It tells the customer what they will pay, what goods or services they will get, and the tax that will apply, but it is not a demand for money and it does not record a completed sale. Think of it as a formal, detailed quotation dressed up to look like an invoice, so the buyer can arrange budget approval, an advance payment, or an import licence.
In India, a proforma invoice carries no legal standing under GST. You cannot claim any tax on it, the buyer cannot take input tax credit against it, and it does not go into your GST returns. Only the actual tax invoice you raise after the deal is confirmed does that. Understanding this line is the whole point of getting the proforma invoice format right.
The proforma invoice format for Indian businesses
There is no format prescribed by law, but a good proforma invoice looks almost identical to your tax invoice, with a few changes. Include these fields:
- The words "Proforma Invoice" clearly at the top, so nobody mistakes it for a tax invoice.
- Your business name, address and GSTIN. Even though it is not a tax document, buyers expect to see your GSTIN.
- A proforma number and date. Keep a separate series from your tax invoices to avoid confusion.
- Buyer details with their name, address and GSTIN if they have one.
- Item description, HSN or SAC code, quantity and rate for each line.
- The GST breakup showing CGST and SGST, or IGST for an inter-state sale, at the correct slab.
- The total value in ₹ and, ideally, the amount in words.
- A validity date and payment or delivery terms, since prices and GST rates can change.

The two documents look similar, so buyers and even accountants sometimes mix them up. Here is the practical difference.
Do not file a proforma in your returns
A common error is treating a proforma invoice as a sale and reporting it in GSTR-1. Since no supply has happened, this overstates your output tax. Only raise the tax invoice when the goods actually move or the service is delivered, and report that.When Indian businesses use a proforma invoice
You will find a proforma invoice useful in several everyday situations:
- Getting an advance. Many buyers release an advance only against a proforma. Once you receive it, you raise the tax invoice for the balance on delivery.
- Budget or purchase-order approval. Corporate and government buyers need a formal figure to raise a PO. A proforma gives them the exact amount including GST.
- Imports and exports. Customs, banks and freight forwarders often ask for a proforma before shipment.
- Custom or made-to-order goods. When you manufacture on order, a proforma locks the price and specification before you start.
Since a proforma often turns into an advance and then a final bill, keeping the whole chain linked matters. When you manage stock as well, tie your quotes to live availability using inventory management, and follow up on pending proformas over chat with WhatsApp CRM so quotes do not go cold.
A worked example
Say you run a furniture workshop in Jaipur and a hotel asks for 40 chairs. You send a proforma invoice showing 40 chairs at ₹2,500 each, a taxable value of ₹1,00,000, and 18% GST of ₹18,000, for a total of ₹1,18,000. The proforma says the price is valid for 15 days and that a 50% advance is due to start production. The hotel approves it, raises a purchase order, and pays ₹59,000 as advance.
At this point you still have not made a sale in the eyes of GST. You raise the actual tax invoice only when the chairs are ready and dispatched. That tax invoice, not the proforma, is what you report in GSTR-1 and what lets the hotel claim its input tax credit. If the GST rate or your price changed in between, the tax invoice carries the new figure, which is exactly why the proforma carried a validity date.
Common mistakes to avoid
- Using the same number series as tax invoices. This breaks the continuous numbering GST expects for real invoices. Keep proformas on their own series such as PI-001.
- Forgetting the "Proforma Invoice" label. Without it, a buyer or their accountant may book it as a purchase and claim credit they are not entitled to.
- Treating the advance as a completed sale. An advance received against a proforma may have its own GST treatment, but the proforma itself is still not your tax invoice.
- Never converting it. The proforma is a step, not the finish. If you skip raising the tax invoice, you have no legal record of the sale and the buyer cannot claim credit.
Turning a proforma into a paid order
A proforma is only half the job. The buyer still has to say yes, pay, and receive a proper tax invoice. The businesses that win are the ones that follow up quickly, convert the proforma to a tax invoice the moment the order is confirmed, and then chase the balance payment on time.
